Terms of Service

These Terms of Service govern your use of our platform. By accessing or using our services, you agree to comply with these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Duuce LLC, a Florida limited liability company doing business as LetterTrader ("LetterTrader," "we," "our," or "us"), governing your access to and use of the website https://lettertrader.com and all related products and services (collectively, the "Services"). By creating an account and clicking "I Agree," you acknowledge that you have read, understood, and accepted these Terms. If you do not agree, you must not use or access the Services.

2. Description of Services

LetterTrader operates an online marketplace facilitating the listing, marketing, and sale of newsletter-related digital assets. The Services include but are not limited to the publication of listings, auditing, valuation, and migration assistance, and other features offered directly or through third-party integrations. LetterTrader acts solely as an intermediary platform. We do not own, create, sell, resell, or control the newsletters or assets listed on the platform and are not a party to any transaction between Users.

3. Account Registration and Eligibility

To access certain features, you must register for an account, provide accurate and complete information, and maintain the confidentiality of your credentials. You agree that:

  • You are at least 18 years old and legally capable of entering into binding agreements.
  • You will not impersonate any person or entity or misrepresent your affiliation.
  • You are responsible for all activities under your account.

LetterTrader reserves the right to suspend or terminate any account at its discretion for violations of these Terms or applicable laws.

4. User Obligations and Conduct

Users shall comply with all applicable laws and LetterTrader's internal standards, including its Code of Ethics, available at https://lettertrader.com/code-of-ethics . Prohibited activities include but are not limited to:

  • Submitting fraudulent, misleading, or infringing listings;
  • Engaging in harassment, spam, or abusive conduct;
  • Circumventing fees or platform processes;
  • Attempting to gain unauthorized access to any system or data;
  • Using any asset acquired through the Platform for fraudulent, misleading, illegal, or unethical purposes, including spamming, impersonation, or subscriber deception.

Violation of this clause may result in suspension or permanent account termination.

5. Fees and Payments

Certain features of the Services require payment of fees, including listing fees, commissions, and future subscription plans. All fees are specified at the time of purchase and are processed via Stripe or direct bank transfer. All payments are non-refundable, unless otherwise required by law. Users are responsible for all applicable taxes.

6. Intellectual Property

All rights, title, and interest in and to the Services, including the LetterTrader name, logo, software, design, and content, are owned exclusively by Duuce LLC. Users retain ownership of any content they submit or list on the platform. By posting content, you grant LetterTrader a worldwide, royalty-free, non-exclusive license to host, display, and promote such content in connection with the Services.

7. Disclaimers

LetterTrader provides the Services "as is" and "as available" without warranties of any kind, express or implied. We make no representation that listings or valuations are accurate, complete, or reliable, nor that any transaction will result in successful completion. LetterTrader does not guarantee uninterrupted or error-free operation and disclaims all implied warranties, including fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, Duuce LLC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by you to LetterTrader during the six (6) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Duuce LLC, its affiliates, and their respective officers and employees from any claims, damages, liabilities, or expenses arising from your use of the Services, your content, or your violation of these Terms.

10. Termination

LetterTrader may suspend or terminate your access to the Services at any time, with or without notice, for conduct deemed harmful, unethical, or in violation of these Terms. Upon termination, your right to use the Services ceases immediately.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida for any disputes arising under these Terms.

12. Modifications

LetterTrader reserves the right to update or modify these Terms at any time. Updates will be effective upon posting. Continued use of the Services constitutes acceptance of any revisions.
